I had almost the exact same thing happen on my Server 2003 box and was able
to track it down to the APC software.
In order to get it cleared up, here's what I had to do:
I had to reboot into safe mode, use the MSCONFIG utility, click on the
"services" tab, check the "Hide All Microsoft Services" box, then uncheck
anything that says "APC Server" or "APC Client", etc...
I don't know yet if APC is working on a fix to this, but the problem had
messed up my Veritas backups and I was unable to make any configuration
changes to my server until I cleared this up.
